| CONFLICT OF INTEREST. We do not represent consumers who have a grievance or claims against another one of our clients. For example, we represent Saving the American Dream in certain matters. We cannot represent anyone where it would create a possible or actual conflict of interest.

| SEPARATE RETAINER. We do not provide legal services as "in-house counsel" to the customers of Saving the American Dream or any other attorney or loan rescue service. We require a retainer with TLC directly. |

REFERRAL FEES. We do not pay a referral fee or give anything of value to non-lawyers for referring distressed homeowners to the firm. With the written consent of our clients, we may provide referral fees to other lawyers for litigation cases.

FEE SPLITTING. We do not split or divide fees with non-lawyers, or with lawyers except with our client's written consent.

AIDING UNAUTHORIZED PRACTICE. We will not assist anyone in the unauthorized practice of law. For example, by providing legal services for a distressed homeowner while employed as in-house counsel for a non-lawyer company; forming a business with a non-lawyer to perform legal services, or assisting a non-lawyer individual or company in providing services that the individual or company is not authorized to provide or are otherwise illegal. We will not assist lawyers or non-lawyers in the violation of any regulation or law.

| SOLICITATION. We do not directly contact distressed homeowners to offer representation and do not permit others to directly contact distressed homeowners on our behalf. We do not accept referrals from non-lawyers acting in the guise of a "lawyer referral service", other than legitimate lawyer referral services, which comply with all ethics rules, and such as those operated by the State or local Bar Associations. |

DIRECT RELATIONSHIPS. We do not permit non-lawyers to interfere with our direct relationships with clients. Our clients trust us with information, including financial information, which is confidential and privileged.

CHOICE. We do not allow other lawyers or non-lawyers to choose, on behalf of any client, our firm for representation, nor permit persons other than our clients, to direct our representation.
